1. Acceptance of Terms​

These Terms of Service ("Terms") constitute a legally binding agreement between you and Ada X LLC (operating as Pathub, hereinafter "we," "us," or "our"), governing your access to and use of our software-as-a-service (SaaS) platform (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

2. Description of Services​

Pathub provides patent workflow tools that may include the following features (subject to actual product offering):

• Patent and non-patent literature search (keyword and semantic search)
• Similarity clustering, deduplication, and filtering assistance
• Comparison summaries and structured alignment outputs (e.g., claim chart format)
• Monitoring and alerts (topic/applicant/keyword-based)
• Team collaboration, access control (RBAC), and basic audit logs (per plan)
• Export and reporting (CSV/PDF, etc., per plan)

3. Account Registration and Security​

To use certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete registration information and update it promptly
• Safeguard your account credentials and be responsible for all activities under your account
• Notify us promptly of any unauthorized access or security incidents

4. Subscription and Payment​

4.1 Billing​

Some Services may require a paid subscription. You agree to pay the applicable fees as displayed on the pricing page or order page (in U.S. dollars unless otherwise stated). Refund terms are governed by our Refund Policy page.

4.2 Automatic Renewal and Cancellation​

If you subscribe, your subscription will typically auto-renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription through your account settings or by contacting our support team.

4.3 Price Changes​

We may adjust pricing. For existing subscribers, if the renewal price increases, we will make reasonable efforts to provide advance notice (where applicable).

5. Acceptable Use and Prohibited Conduct​

You agree not to use the Services for the following purposes:

• Violating applicable laws or infringing third-party rights (including intellectual property rights)
• Uploading or transmitting malicious code, conducting attacks, or attempting unauthorized access
• Interfering with the normal operation of the Services or circumventing access controls/quotas
• Scraping, copying, or redistributing Service content or data without authorization
• Engaging in fraud, misleading promotions, or other illegal activities
• Sharing account credentials with unauthorized individuals or reselling accounts

6. Intellectual Property​

6.1 Our Rights​

The Services themselves (including software, interfaces, and features) are owned by Ada X LLC or its licensors and are protected by applicable laws. You may not copy, modify, distribute, or create derivative works without permission.

6.2 Your Content​

You retain ownership of content you upload/input (such as search topics, notes, project organization information, etc.). You grant us a limited license to process such content as necessary to provide and improve the Services. You are responsible for ensuring you have the right to provide such content and that it does not infringe third-party rights or violate confidentiality obligations.

7. Disclaimers​

We make reasonable efforts to improve Service quality, but the Services are provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee:

• That search results or analytical outputs will be completely accurate, comprehensive, or error-free
• That the Services will be uninterrupted, fault-free, or absolutely secure
• That information is suitable for any particular purpose or meets your specific compliance requirements

SERVICE OUTPUTS ARE FOR INFORMATIONAL PURPOSES ONLY AND CANNOT SUBSTITUTE FOR PROFESSIONAL LEGAL ADVICE OR THE JUDGMENT OF LICENSED ATTORNEYS OR PATENT AGENTS.

8. Limitation of Liability​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADA X LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification​

You agree to indemnify, defend, and hold harmless Ada X LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

10. Termination​

We may terminate or suspend your access to the Services immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting us or through your account settings.

11. Governing Law and Dispute Resolution​

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association.

12. Changes to Terms​

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

13. Severability​

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
